01 Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User", "you") and BallBall ("BallBall", "we") regarding your use of the BallBall mobile application and related services (collectively, the "Platform").

BallBall is a community platform connecting amateur football enthusiasts, helping users manage team schedules, find opponents for friendly matches, book pitches, and connect with the football community in Vietnam.

By downloading, accessing, or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, please do not use the Platform.

02 Eligibility

By using the Platform, you represent and warrant that:

• (i) You are at least 16 years of age and have full legal capacity to enter into a binding agreement under the laws of Vietnam; or
• (ii) If you are under 16 years of age, you have obtained the consent of your parent or legal guardian to use the Platform and to be bound by these Terms.

03 License to Use the Platform

Subject to your compliance with these Terms, BallBall grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the Platform on a compatible mobile device that you own or control, solely for your personal, non-commercial purposes.

04 User Accounts

4.1. Registration

You must register an account to access most features of the Platform. You agree to provide accurate, current, and complete information during registration (including phone number, full name, preferred position, and activity area) and are responsible for keeping your account information up to date.

4.2. Account Security

You are responsible for safeguarding your account password and for all activities that occur under your account. Notify us immediately of any unauthorized use or security breach. BallBall is not liable for any losses arising from unauthorized use of your account.

4.3. Account Types

The Platform offers account types with different permissions:

• Player (Regular Member): Join teams, register for matches, add friends, and update personal statistics.
• Captain: Full team management authority, including creating schedules, finding opponents, recruiting members, managing permissions, and dissolving the team.
• Ball Keeper: Same permissions as Captain, except for the ability to manage permissions and dissolve the team.
• Field Owner: Manage football pitches, set pricing, approve bookings, and view revenue statistics.

05 Platform Services and Features

BallBall provides the following core services:

• 5.1. Team Management: Create teams, manage members, assign roles, manage activity schedules, and internal team chat.
• 5.2. Friendly Match Finder: Post match schedules, receive match requests from other teams, and confirm or decline challenges.
• 5.3. Player Recruitment: Quickly post for substitute players, support matches with insufficient participants, and allow players to register.
• 5.4. Pitch Booking: Search pitches by area, view availability, and book online.
• 5.5. Pitch Management (for Field Owners): Register pitches, set time-slot pricing, approve bookings, and view revenue statistics.
• 5.6. Football Social Network: Add friends, send messages, view player profiles, and track personal statistics.

06 Service Plans and Payments

6.1. Free and Paid Plans

The Platform provides basic features free of charge. Paid service plans (if any) will be described in detail on the Platform, including benefits, features, and applicable pricing.

6.2. Service Fees for Field Owners

Field Owners may be required to pay service fees under subscription plans (Basic, Standard, Pro, Enterprise) with varying features and pricing. Details of service fees will be clearly communicated before a Field Owner subscribes.

6.3. Transaction Fees

BallBall will only charge fees when users and teams register to connect with the community.

6.4. Payments and Refunds

All payments are processed through designated payment processors (Apple/Google IAP or a payment gateway). Refund policies are governed by the rules of each payment channel and applicable Vietnamese law.

07 User Conduct and Content

7.1. Acceptable Use

You agree not to use the Platform for any unlawful purpose or in any manner that violates these Terms. You agree to comply with all applicable laws and regulations of Vietnam.

7.2. Prohibited Conduct

You shall not:

• Post or transmit content that is unlawful, threatening, harassing, defamatory, obscene, discriminatory, or otherwise objectionable;
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity;
• Intentionally and repeatedly cancel matches or pitch bookings without valid justification;
• Engage in fraud or deception in transactions conducted on the Platform;
• Transmit viruses, malware, or any other harmful code;
• Attempt to gain unauthorized access to the Platform, other user accounts, or related systems;
• Unlawfully collect user information;
• Reverse engineer, decompile, or disassemble the Platform.

7.3. User-Generated Content

You are solely responsible for content you create, upload, post, or share on the Platform ("User Content"), including profile pictures, team information, and comments in team chats.

By posting content, you grant BallBall a worldwide, non-exclusive, royalty-free license to use, reproduce, and distribute your content for the purpose of operating and improving the Platform.

We have the right, but not the obligation, to monitor, review, remove, or edit User Content that violates these Terms or applicable law (including Decree No. 72/2013/ND-CP and any amending instruments).

08 Pitch Booking and Match Rules

8.1. Pitch Booking

When booking a pitch through the Platform, you commit to making timely payment and complying with each pitch's own rules. BallBall acts solely as a connector and is not responsible for pitch quality or disputes between the booking party and the field owner.

8.2. Friendly Matches and Opponent Finding

Teams are solely responsible for fulfilling their match commitments. Cancellation rates will be recorded and publicly displayed on team/player profiles. BallBall reserves the right to restrict accounts with high cancellation rates.

8.3. Fairplay Index

The Platform applies a Fairplay rating system based on the conduct of users and teams. Negative behaviors (match cancellations, fraud, violations) will affect the Fairplay score and may result in feature restrictions.

09 Intellectual Property

The Platform and its original content (excluding User Content), features, functionality, and underlying technology are and shall remain the exclusive property of BallBall and its licensors.

The "BallBall" trademark, logo, and other identifying marks are the property of BallBall. You may not use our trademarks without prior written permission.

10 Disclaimer of Warranties

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. BallBall does not warrant that the Platform will be uninterrupted, error-free, secure, or free from viruses or other harmful components.

BallBall is not responsible for:

• The quality of pitches or services provided by Field Owners;
• The conduct of teams or players during friendly matches;
• Injuries or accidents occurring during play;
• Financial disputes between parties using the Platform;
• Content created and posted by Users.

11 Limitation of Liability

To the maximum extent permitted by Vietnamese law, BallBall, its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or other intangible losses arising from your use of the Platform.

12 Indemnification

You agree to defend, indemnify, and hold harmless BallBall and its officers, directors, and employees from and against any claims, liabilities, damages, losses, and expenses arising from (a) your use of the Platform; (b) your User Content; or (c) your violation of these Terms or applicable law.

13 Termination

We may terminate or suspend your access to the Platform immediately, without prior notice, if you breach these Terms. Upon termination, your right to use the Platform will cease immediately.

You may terminate your account at any time by using the account deletion feature within the Platform or by contacting us. Upon account deletion, your personal data will be handled in accordance with the Privacy Policy.

14 Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Socialist Republic of Vietnam.

Any dispute arising out of these Terms or the Platform shall first be resolved through good-faith negotiation. If negotiation fails, the dispute shall be resolved by a court of competent jurisdiction in Vietnam.

15 Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last Updated" date.

Your continued use of the Platform after the effective date of the amended Terms constitutes your acceptance of those changes.
